Terms of Service

These terms of service ("Terms") govern your use of the We Are Angels platform and services ("Services") operated by Office Angels BV ("we", "us", "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

We Are Angels is a platform that connects businesses ("Clients") with freelance professionals ("Angels") for flexible business support services.

Our Services include:

• Matching Clients with Angels based on skills and availability

• The AngelFlow platform for collaboration, time tracking, and budget management

• Guardian Angel coordination and support

• Payment processing and invoicing

We act as an intermediary between Clients and Angels. Angels are independent contractors, not employees of We Are Angels.

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain the security of your password and account

• Accept responsibility for all activities under your account

• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

For Clients:

• Provide clear project requirements and expectations

• Pay for services in accordance with agreed terms

• Respect Angels as independent professionals

• Use the platform for legitimate business purposes

For Angels:

• Deliver quality work as agreed

• Track time accurately and honestly

• Communicate professionally with Clients

• Maintain confidentiality of Client information

For all users:

• Comply with applicable laws and regulations

• Not use the Services for illegal or unauthorized purposes

• Not interfere with or disrupt the Services

• Not attempt to circumvent the platform for direct engagements

Subscription fees:

Clients pay monthly subscription fees based on their chosen tier (Lite, Professional, or Enterprise). Fees are billed monthly in advance and are non-refundable.

Hourly rates:

Work performed by Angels is billed at the hourly rates specified in your subscription tier. Travel costs are charged at €0.98 per kilometer.

Payment processing:

• Invoices are generated monthly based on approved time entries

• Payment is due within 30 days of invoice date

• Late payments may incur interest at the statutory rate

• We use secure third-party payment processors

Angel payments:

Angels are paid directly by We Are Angels based on approved time entries, minus the platform fee.

Platform IP:

The We Are Angels platform, including its design, features, and content, is owned by Office Angels BV. You may not copy, modify, or distribute any part of our platform without written permission.

Work product:

Unless otherwise agreed, work created by Angels for Clients becomes the Client's property upon full payment.

Confidentiality:

Both Clients and Angels agree to keep confidential any proprietary information shared during the engagement.

No warranty:

Our Services are provided "as is" without warranties of any kind. We do not guarantee the quality of work delivered by Angels or the suitability of any Client-Angel match.

Limitation of liability:

To the maximum extent permitted by law, We Are Angels shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits or business opportunities

• Damages arising from third-party services

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Indemnification:

You agree to indemnify and hold harmless We Are Angels from any claims arising from your use of the Services or violation of these Terms.

By you:

You may terminate your account at any time by contacting us. Subscriptions can be cancelled with 30 days notice before the next billing cycle.

By us:

We may suspend or terminate your account if you:

• Violate these Terms

• Engage in fraudulent or illegal activity

• Fail to pay fees when due

• Harm other users or our reputation

Effect of termination:

Upon termination:

• Access to Services will be revoked

• Outstanding payments remain due

• Confidentiality obligations continue

• We may retain data as required by law

Informal resolution:

Before initiating formal proceedings, parties agree to attempt to resolve disputes informally by contacting legal@weareangels.com.

Governing law:

These Terms are governed by Belgian law.

Jurisdiction:

Any disputes shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium.

Mediation:

For disputes not resolved informally, parties may agree to mediation before initiating court proceedings.

We may modify these Terms at any time. We will notify you of material changes via email or platform notification.

Continued use of our Services after changes constitute acceptance of the new Terms. If you disagree with changes, you must stop using our Services.
